Terms of Service

Last updated October 24, 2026

1. Who we are and what these terms cover

KOLective connects eye care professionals with industry teams seeking expertise for advisory boards, research, education, speaking and other professional work. KOLective is operated by Identity Media Group, L.L.C., 8435 SW 102nd Pl, Miami, FL 33173 (“KOLective,” “we” or “us”).

These terms govern kolective.ai, professional accounts, and the profiles, directories and webpages we operate that link to these terms, including participating AEyeDoctor webpages (together, the “Service”). Separately operated websites and third-party services have their own terms. Additional requirements for industry users appear in Section 8.

By checking an acceptance box or otherwise expressly agreeing when these terms are presented to you, you enter into this agreement with Identity Media Group, L.L.C. Please read these terms before using the Service and do not use it if you do not agree. Our Privacy Policy explains how we collect, use, share and retain personal information. These terms do not authorize data use that the Privacy Policy or applicable law prohibits.

2. Who can have an account

Eligibility. Professional accounts are for licensed ophthalmologists and optometrists in the United States and professionals elsewhere whom we accept. You must be at least 18, have reached the age of legal majority where you live, and have authority to enter into this agreement. Give us accurate identity and professional information, including your NPI if you have one, and keep your credentials and contact details current. An NPI match alone is not verification of an active license or clinical qualifications.

Your account. Your account is personal. Use one account for yourself unless we approve otherwise. Do not impersonate someone or create or claim an account for another person without their permission and our authorization. Keep sign-in credentials private and use reasonable care to protect access. Tell us promptly at team@kolective.ai if you suspect unauthorized access.

Staff assistance. Authorized KOLective staff may access your account as reasonably needed for onboarding, support, security and administration. They may make changes you specifically request or authorize. Staff access does not itself authorize acceptance of these terms, public-content approval, connection of a third-party account, or acceptance or signature of an engagement on your behalf.

Free and voluntary participation. A standard professional account is free. Joining does not require you to accept an engagement, publish a personal webpage or connect another service. You choose which opportunities you are open to. Any optional paid service we separately offer requires your express agreement to its price and terms before a charge applies.

3. Your professional profile

Information sources. Your professional profile may combine information you supply with information from public or otherwise authorized sources, such as the NPI registry, research publications, clinical trial registries, CMS datasets, and professional society and conference records. The Privacy Policy describes our information practices. Source data may be incomplete or dated; a claims-based activity indicator does not necessarily show your total clinical volume.

Review and corrections. Our team reviews information we gather before we make it available to other users. You can review your profile, correct or add information, and ask us to review or remove an item by contacting team@kolective.ai. We aim to respond within 30 days, or sooner when applicable law requires. We may ask for information reasonably needed to verify a request and explain if we cannot make a requested change. Our review is not a guarantee that every source or statement is complete or accurate.

Public and professional views. A basic public directory listing is different from a member’s personal webpage. Basic listings are limited to public professional identity, specialty, business contact and practice-location information, and clearly identified practice-focus indicators drawn from public Medicare data. Such a listing does not mean that the person joined KOLective, approved the listing, or endorsed us. Public personal webpages and expanded member content require the approval described in Section 4. Nonpublic professional information is available only to authorized users for permitted purposes, consistent with the Privacy Policy and applicable permissions. We do not publish internal scores or rankings, compensation preferences, private engagement records, individual payment or compensation information (including public-source payment records), connected-calendar information, or member content awaiting publication approval on public pages. Public availability elsewhere does not override these limits. Reporting required by law is addressed in Section 6.

Scores and assessments. A profile score, category or other assessment is an estimate based on the information and methodology available at the time. It may be incomplete, contain errors or change as the information or methodology changes. It is not a professional credential, a licensure or background check, an assessment of clinical competence or patient outcomes, or a guarantee of an opportunity or compensation. You may ask us for an explanation of the principal factors used and request review of the information underlying your assessment. Restrictions on use of individual assessments appear in Section 7.

Your contributions. You are responsible for the accuracy of information you submit and for reviewing content you approve. Do not misstate credentials, affiliations, experience or results, or provide information you are not entitled to share. Our responsibility for content we create or change is not transferred to you merely because you have an account.

4. Your webpage and content rights

Publication approval. If we host a personal webpage for you, including on your own domain or AEyeDoctor, you decide whether it is published and approve the content presented as yours. Creating an account or accepting these terms is not approval to publish that webpage. We may make formatting, accessibility and technical changes that do not materially change your approved statements. Material changes to those statements require your approval. You may request a correction or unpublication at team@kolective.ai.

Your rights and our permission. You retain the rights you hold in content you supply, including your biography, photographs and posts. You give us a nonexclusive, worldwide, royalty-free license to host, copy, format, technically adapt, display and distribute that content as reasonably needed to operate your account, provide the Service and carry out your publication instructions. This includes approved use on your webpage and the KOLective and AEyeDoctor directories. We may permit service providers working for us to exercise these rights only as needed to perform those functions, subject to the Privacy Policy. This license does not authorize unrelated advertising endorsements, sale of your content as a standalone product, or use beyond the applicable visibility permissions.

Third-party rights. Submit content only if you have the rights and permissions needed for these uses. This includes rights held by photographers, your practice or employer, and people appearing in photographs. Tell us about required attribution or use restrictions. Approving material from another source does not transfer that source’s ownership rights to you or us. We may decline or remove content that infringes rights, is misleading, or violates these terms or the law.

AI-assisted drafting. We may use AI tools to help organize professional information or prepare suggested text and designs. AI-generated suggestions can contain errors. We do not publish AI-drafted personal webpage content until you approve it. You should check factual statements, professional claims, attribution and any required disclosures before approving. AI-generated assessments remain subject to Section 3 and the Privacy Policy.

Public discoverability. Approved public pages may be indexed, summarized, quoted or linked by search engines and AI search or answer services, subject to the permissions in Section 7. We do not promise inclusion, placement, referrals or accurate treatment by an outside service. Permission to publish and index your content does not grant unrelated rights to sell it as a dataset or train general-purpose AI models on it. We cannot control independent copies, caches or summaries made by third parties.

After removal or closure. When you remove content, request unpublication, or close your account, this license ends for new public uses, subject to the reasonable time needed to remove hosted copies. Limited rights continue only as needed for restricted backups, existing engagement records, legal compliance, security and legal claims, as described in Section 10 and the Privacy Policy. Those retained copies do not authorize continued public promotion. These terms do not transfer ownership of a domain you already own; separate domain or hosting arrangements remain governed by their own terms.

5. Connected accounts

You may choose to connect supported services, such as Instagram or a calendar provider. Available connections and their permissions are described when offered and in the Privacy Policy.

Connect an account only if you are authorized to do so. The provider’s permission process and its own terms apply.

Our access and use are limited to the permissions you authorize and the purposes described in the Privacy Policy. For the connections covered by these terms, we do not post, send messages, or create, change or delete calendar events on your behalf. A future feature requiring those actions would require separate authorization before use.

For Instagram, connect only your own professional account that you operate, not a practice-wide account or an account belonging to another person.

You may disconnect through the available account controls or the provider’s settings. Contact team@kolective.ai if you need help or want connected-service data deleted. Disconnecting stops future access through that connection; handling of information already received follows the Privacy Policy, applicable law and the provider’s requirements.

Do not connect a source that sends identifiable patient information to KOLective. This includes patient information in calendar details, attachments or imported social content. Section 7 applies to connected-service data as well as manual submissions.

Third-party features may change or become unavailable. Connecting a service does not mean that its provider sponsors or endorses KOLective, or that KOLective controls that provider.

6. Engagements with industry

Separate agreements and authority. Each engagement requires a separate written agreement identifying the company, the professional, the services, compensation, payment timing and other applicable requirements. Unless that agreement expressly provides otherwise, the engagement is between you and the company, and the company is responsible for paying you. KOLective facilitates or administers the engagement and may perform specified functions as a company’s disclosed agent when separately authorized in writing. Accepting these terms does not authorize us to accept an engagement or sign an agreement for you. We are responsible for any obligations we expressly accept in an applicable agreement.

Independent participation. You decide whether to accept each engagement. An account does not make you our employee, partner or general agent, and does not create exclusivity. You remain responsible for the services you agree to perform. We do not guarantee an engagement, a minimum amount of work or a company’s performance.

Honoraria and fees. KOLective charges its service fee to the company and does not deduct that fee from your agreed gross honorarium. Legally required tax withholding may apply. Your engagement agreement governs payment timing, approved expense reimbursement, cancellations and any other expressly agreed adjustments. You are responsible for your taxes and for supplying reasonably required tax and payment information through an appropriate secure channel. These terms do not guarantee payment of a company’s debt or reduce any payment or remittance obligation KOLective separately accepts.

Legitimate services and fair market value. Engagements must serve a legitimate business or professional purpose and involve actual, specified services. Compensation must reflect fair market value for those services and must not be based on the volume or value of referrals, prescribing, ordering, purchasing, recommendations or other business generated for a company. Do not offer, request or accept a benefit to improperly influence clinical or purchasing decisions. No engagement may require you to compromise your independent clinical judgment.

Your professional responsibilities. Obtain required employer or institutional approvals before accepting an engagement. Follow applicable law, professional rules and institutional policies, manage conflicts of interest, and make required disclosures of sponsorship and financial relationships. An engagement agreement governs its work product and confidentiality; the profile-content license in Section 4 does not replace those provisions.

Transparency reporting. Payments and other transfers of value may be reportable under the federal Open Payments program or other transparency laws, including payments routed through an intermediary. We may provide the responsible reporting entity with information reasonably needed for accurate reporting and related recordkeeping, consistent with the Privacy Policy. Provide accurate identifying and engagement information and tell us about errors you identify. These terms do not transfer a reporting entity’s statutory duties to you or to KOLective, or waive your rights to review or dispute reported information.

Independent compensation decisions. You decide independently what compensation you are willing to accept. Do not use the Service to coordinate fees with competing professionals, agree on collective refusals to work, or exchange competitively sensitive information in violation of competition law. Any compensation guidance does not require you to accept a particular rate or establish an agreed rate among professionals.

7. Acceptable use and rights in the Service

Do not:

  • Submit patient information. The Service is not designed to receive identifiable patient information or serve as a medical record, clinical messaging or patient-care scheduling system. Do not upload, transmit, publish or cause a connected service to send names, identifiable clinical images or videos, case details, appointment information or other data that identifies or reasonably could identify a patient. Do not connect a clinical calendar unless the connection is configured to transmit only information that does not identify patients. If patient information is sent by mistake, notify team@kolective.ai promptly without including further patient information in the notice.
  • Break the law or infringe intellectual property, privacy, publicity or other rights; impersonate anyone; or misrepresent credentials, authority or affiliations.
  • Access accounts, nonpublic data or features without permission; bypass access controls; introduce malicious code; or interfere with the Service.
  • Send unsolicited marketing, harass others, or disclose confidential information you are not authorized to share.
  • Scrape, bulk-copy, resell or compile profiles or Service data into a separate directory, commercial dataset or AI-training dataset without our written permission, except for the limited public indexing permission below or as applicable law permits. This does not prevent you from accessing and retaining your own submitted content or engagement records.
  • Use profiles, scores, rankings or reports for employment background screening, credentialing or privileging, or eligibility decisions concerning credit, insurance, housing or other regulated purposes. Using individual assessments to select or retain paid consultants requires a separately authorized compliance process and written terms addressing applicable law; these terms alone do not authorize that use. Nothing here waives rights or duties under the Fair Credit Reporting Act or similar laws.

Permitted public indexing. Subject to applicable rights, published crawler instructions and reasonable technical limits, we permit search engines and AI search or answer services to access public pages for indexing, retrieval, linking and appropriately attributed excerpts or summaries. This permission does not extend to nonpublic profiles, authenticated pages, scores, private engagement information, standalone resale of our directory, or general-purpose model training. It grants no rights in third-party material beyond those we are entitled to grant. We may restrict automated access that misuses the Service or burdens its operation.

Our materials. Subject to your rights and the rights of other owners, KOLective retains its rights in its software, designs, trademarks, original content and protectable compilations. You receive a limited, nontransferable right to use the Service for its intended purposes while you comply with these terms. We do not claim ownership of underlying public facts merely because they appear in the Service. Nothing in these terms restricts a use or right that applicable law does not allow us to restrict.

8. Industry users

Companies and their representatives may browse public pages subject to the applicable public-use provisions. Access to nonpublic professional profiles, analytics, industry workspaces, engagement administration or other business services requires our authorization and separate written industry terms or agreements. These terms alone do not grant that access or authorize a company to rely on individual assessments for restricted purposes.

An applicable engagement agreement governs the work under that engagement. If it conflicts with these terms about that work, payment, confidentiality, work-product rights or engagement disputes, the engagement agreement controls. These terms otherwise continue to govern use of the Service. You must have authority to bind an organization if you enter into an agreement for it.

9. Not medical advice or clinical credentialing

KOLective provides professional networking, directory and related administrative services. It does not provide medical diagnosis, treatment, emergency services or individualized medical advice. Using the Service does not create a clinician-patient relationship with KOLective. General educational material is not a substitute for advice from a treating professional.

A listing, profile, score, identity check or engagement is not a clinical endorsement, guarantee of results, or credentialing or privileging determination. Patients should discuss care with qualified treating professionals. Professionals and companies remain responsible for any independent verification required for an engagement. Do not use the Service to communicate about an emergency.

10. Ending an account and retaining records

You may close your account or request removal of a hosted webpage by contacting team@kolective.ai. We may restrict content, suspend access or close an account for a material breach of these terms, misleading credentials, misuse, security concerns, risks to others, or legal requirements. When reasonably practicable and appropriate, we will explain the reason and allow you to respond; immediate action may be necessary to protect people, information or the Service. You may ask us to review an account decision at the same address.

We may change or discontinue a feature or the Service. When reasonably practicable, we will give advance notice of a material discontinuation and a reasonable opportunity to retain your own content and engagement records, subject to law and others’ rights.

When your account closes, we disable account access and remove the personal webpages we host for you within a reasonable operational period. A separately maintained basic directory listing based on public records is handled under the Privacy Policy and may be the subject of a separate correction or removal request; it must not imply continued membership. We cannot erase copies held independently by search engines, practice websites, domain providers or other third parties.

We handle personal information, connected-account data and deletion requests as described in the Privacy Policy. Limited records may be retained as required by law or reasonably needed to administer existing engagements, document payments, support applicable reporting duties, prevent fraud, resolve disputes or establish, exercise or defend legal claims. Backups may persist through their ordinary retention cycle. Retention remains subject to applicable law and connected-service requirements, with access and use limited to the retention purpose; it does not authorize continued public display of a removed personal webpage.

Closure does not cancel an existing engagement agreement, waive earned compensation or eliminate an outstanding obligation. Provisions needed to address existing rights and obligations survive, including applicable payment obligations, limited retention rights, intellectual property protections, restrictions on retained data, liability provisions and dispute terms.

11. Disclaimers, liability and third-party claims

Service warranties. To the fullest extent permitted by law, we provide the Service “as is” and “as available” and disclaim implied warranties of merchantability, fitness for a particular purpose and noninfringement. We do not promise uninterrupted access, error-free or complete information, a particular score, an engagement, compensation, or search-engine or AI-service placement. These disclaimers do not remove express commitments in these terms or the Privacy Policy, or obligations that cannot lawfully be excluded.

Excluded damages. Subject to the exceptions below and to the fullest extent permitted by law, KOLective and its officers, employees and service providers are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, business opportunities or goodwill, arising from the Service or these terms. This applies even if the possibility of those losses was known.

Liability cap. Subject to the exceptions below, the combined total liability of KOLective and those persons to you for claims arising from the Service or these terms will not exceed the greater of US $1,000 or the fees you paid directly to KOLective for the Service during the 12 months before the event giving rise to the claim. Honoraria paid to you and fees paid by a company are not fees paid by you. These exclusions and limits apply regardless of the legal basis of a claim, including contract or ordinary negligence, to the extent the law permits.

Exceptions. These exclusions and limits do not apply to fraud, gross negligence, willful misconduct, or liability that cannot lawfully be excluded or limited. They do not reduce earned honoraria, approved expense reimbursements or other amounts payable under an engagement agreement; limit an express obligation we accept to pay, refund or remit funds; or replace a different liability allocation expressly agreed in an applicable separate agreement. These exceptions do not make us responsible for an obligation that belongs solely to a company or another person.

Third-party claims caused by you. To the extent permitted by law, you agree to cover damages and reasonable legal costs resulting from a third-party claim against KOLective to the extent caused by content you supplied infringing that party’s intellectual property, privacy or publicity rights, or by your fraud or intentional unlawful use of the Service. This obligation does not cover losses caused by our negligence or misconduct, or by material changes to content that you did not authorize. We will give you prompt notice, allow you to control the defense with reasonably acceptable counsel, and reasonably cooperate. Neither party may settle a claim in a way that admits fault by, imposes a nonmonetary obligation on, or fails to release the other party without that party’s written consent.

12. Changes to these terms and electronic notices

We may update these terms prospectively and will identify the new effective date. For changes that materially affect account holders’ rights or obligations, we will give advance notice by email or through the account. A change required by law or reasonably necessary to address an urgent security or abuse issue may take effect sooner, with notice as soon as practicable. Where affirmative agreement is required, we will obtain it before applying the change to you. Otherwise, continued use after notice and the effective date constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Service and close your account.

Updates will not retroactively change an existing engagement agreement or the terms governing a dispute that arose before the update. Keep your email address current. You agree that we may send account, service and legal notices electronically, subject to applicable law; you may request a copy at team@kolective.ai. This agreement to receive service notices is separate from consent to promotional messages.

13. Law, disputes and general terms

Florida law governs these terms, without regard to conflict-of-laws rules, except where applicable law requires otherwise. Subject to any mandatory right to bring a claim elsewhere, disputes concerning these terms or the Service must be brought in the state courts located in Miami-Dade County, Florida, or, if federal jurisdiction exists, the United States District Court for the Southern District of Florida. You and KOLective consent to those courts’ jurisdiction.

Please first contact team@kolective.ai so we can try to resolve a concern informally. This request does not prevent either party from seeking urgent relief, reporting a matter to a regulator, or filing a claim in time to preserve a legal right. These terms do not require arbitration or waive the right to participate in a class action or seek a jury trial where those rights are otherwise available. A separate engagement agreement may provide a different process for disputes under that agreement.

These terms and any additional terms you expressly accept form the agreement for the Service, subject to the separate agreements described above. If a provision is unenforceable, it will be limited or severed to the extent lawful, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of the right to enforce it later. We may transfer this agreement with a merger, reorganization or sale of the relevant business if the successor assumes our obligations, subject to applicable law and the Privacy Policy. You may not transfer your personal account without our written consent.
